Documents required for GST registration of a private limited company

Certificate of incorporation, MOA and AOA, the company's PAN, PAN and Aadhaar for every director, a photograph of each, a board resolution naming the authorised signatory, proof of the registered office with a recent utility bill, and a cancelled cheque in the company's name.

The registered office address must agree with what is on the MCA record. Companies that moved office and updated the lease but not the MCA filing get a query here every time.

Board resolution for GST registration: what it has to say

The resolution authorises a named director or employee to act as the authorised signatory for GST, sign the application and operate the portal. It is passed at a board meeting and signed by a director.

We provide the wording. The common mistake is authorising a person by designation rather than by name — the department wants a named individual whose PAN can be tied to the DSC.

Class 3 DSC for company GST registration

A Class 3 digital signature in the authorised signatory's name, registered against their PAN on the GST portal. ₹1,000–₹2,000 from a licensed certifying authority, valid two to three years.

Most directors of a private limited company already hold one for MCA annual filings. Check before buying another — the same certificate works, provided it is in the name of the person you are authorising.

GST registration for a startup before revenue

Voluntary registration is available at any turnover and is common for funded companies, because input credit on rent, software and professional fees only accumulates once you are registered.

Weigh that against the compliance it starts. If your burn is mostly salaries, which carry no GST, the credit you accrue may be smaller than you assume and the returns are due either way.

Director liability for company GST dues

The company is the taxable person, but directors can be made personally liable for GST dues that cannot be recovered from the company where the non-recovery is attributable to their neglect or breach of duty.

In practice that means the filing calendar is a board-level responsibility, not something to leave entirely with whoever handles the books.

The honest bit about registering a company early

Most companies register before they are required to, and that is usually the right call — corporate customers ask for the GSTIN at onboarding, and input credit on your own expenses only accrues once you are registered. But it does start the filing clock immediately, including nil returns in months where nothing happened.

If the company is incorporated and dormant with no plan to trade for a year, registering now buys you twelve months of nil returns and the late fees that follow the first one you forget. Register when you are about to trade, not at incorporation.
